1. Introduction
These Terms of Use ("Terms") govern your access to and use of CoLabel, a label management and PDF collaboration platform operated by KOMANDA STUDIO UNIPESSOAL LDA ("we", "us", "our", "CoLabel").
By creating an account or using our services, you agree to these Terms. If you do not agree, please do not use our services.

2. Eligibility
To use CoLabel, you must:
- Be at least 16 years old
- Have the legal capacity to enter into a binding agreement
- If acting on behalf of a company, have authority to bind that company to these Terms
3. Account Registration
3.1 Account Creation
To access most features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials, all activities that occur under your account, and notifying us immediately of any unauthorized use.
3.2 Account Types
- Team Users: Can upload files, create products, manage workspace, and access all features according to their plan.
- Viewers and Commenters: Can view shared files and leave comments but cannot upload or modify content.
3.3 Account Termination
You may delete your account at any time through your account settings or by contacting support@colabelms.com. We may suspend or terminate your account if you violate these Terms.
4. Services Description
CoLabel provides: label and print file storage and organization, version control and history tracking, PDF viewing, annotation, and collaboration, PDF comparison tools, barcode tracking and generation, dynamic QR code creation and management, and real-time collaboration features.
We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
5. Subscription Plans and Payments
5.1 Plans
We offer various subscription plans, including a free tier and paid plans. Current pricing and features are available at colabelms.com/pricing.
5.2 Billing
Paid subscriptions are billed in advance on a monthly or yearly basis. Prices are in Euros (EUR) and exclude applicable taxes unless stated. Payment is processed securely through Stripe.
5.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period. You may cancel before the renewal date to avoid charges for the next period.
5.4 Refunds
We offer a 14-day money-back guarantee on all paid plans. Contact us within 14 days of your initial purchase for a full refund. Refunds are not available after 14 days or for renewal payments.
5.5 Price Changes
We may change prices with at least 30 days' notice. Price changes take effect at the start of your next billing period.
6. Your Content
6.1 Ownership
You retain full ownership of all content you upload to CoLabel. We claim no intellectual property rights over Your Content.
6.2 License to Us
By uploading content, you grant us a limited, non-exclusive license to store, display, and transmit Your Content as necessary to provide our services. This license terminates when you delete Your Content or your account.
6.3 Responsibility
You are solely responsible for Your Content and represent that you own or have the necessary rights to upload it, it does not infringe any third party's rights, and it complies with all applicable laws.
7. Acceptable Use
You agree NOT to use CoLabel for illegal activities, harmful content, or service abuse including unauthorized access, interference with services, or circumventing usage limits.
We may remove content and suspend or terminate accounts that violate these rules, without prior notice for serious violations.
8. Intellectual Property
CoLabel, including its design, features, code, trademarks, and documentation, is owned by KOMANDA STUDIO UNIPESSOAL LDA and protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works of our software.
9. Third-Party Services
CoLabel integrates with third-party services (e.g., Google, Microsoft for authentication; Stripe for payments). Your use of these services is subject to their respective terms and privacy policies.
10. Disclaimer of Warranties
CoLabel is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory.
11. Limitation of Liability
Our total liability for any claims shall not exceed the greater of the total fees you paid to us in the 12 months preceding the claim, or one hundred Euros (€100). These limitations do not apply to liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold harmless KOMANDA STUDIO UNIPESSOAL LDA from any claims arising from your use of our services, Your Content, or your violation of these Terms.
13. Changes to Terms
We may modify these Terms at any time with 30 days' notice. Continued use after the effective date constitutes acceptance.
14. Termination
You may terminate your account at any time. Upon termination, your data is retained for 30 days, then permanently deleted. We may suspend or terminate your account for violations or legal requirements.
15. Governing Law and Disputes
These Terms are governed by the laws of Portugal. Disputes shall be submitted exclusively to the courts of Cascais, Portugal. If you are a consumer in the EU, you retain any mandatory protections provided by the laws of your country of residence.
16. General Provisions
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us. If any provision is found invalid, the remaining provisions remain in full force. These Terms are written in English; the English version prevails in case of conflict.
